THIS AGREEMENT DESCRIBES THE TERMS AND CONDITIONS PURSUANT TO WHICH
YOU MAY ACCESS THE SERVICES PROVIDED ON THE EMI MUSIC PUBLISHING WEB
SITE.  PLEASE READ THIS AGREEMENT CAREFULLY, AS YOU MUST AGREE TO ITS
TERMS BEFORE ACCESSING ANY OF THE SONGS AND OTHER SERVICES PROVIDED ON
THE WEB SITE.

IN CONSIDERATION OF WEB SITE OPERATIONS, INC. GRANTING YOU ACCESS TO
THE EMI MUSIC PUBLISHING WEB SITE, YOU HEREBY AGREE AS FOLLOW:

1.      GENERAL RULES AND DEFINITIONS

1.1.    This Subscriber Agreement (the "Subscriber Agreement"), which
includes the operating rules set forth herein, constitutes your
Agreement with WEB SITE OPERATIONS, INC. ("WEB OPERATIONS") regarding
the services available on the EMI Music Publishing Web Site (the "Web
Site").  You ("Subscriber") must agree to abide by all of the terms
and conditions contained in this Subscriber Agreement in order to
become or remain an authorized Subscriber of the services available
on the Web Site (collectively, the "Service").

1.2     Use of the Service by Subscriber constitutes Subscriber's
agreement with the terms and conditions of this Subscriber Agreement.
WEB OPERATIONS reserves the right, at its sole discretion, to change,
modify, add or remove portions of this Subscriber Agreement at any
time. Notification of changes in service will be posted on the Web
Site, or sent via e-mail, or postal mail.

1.3     If these operating rules or any future changes are unacceptable
to Subscriber, or cause Subscriber to no longer be in compliance with
the Subscriber Agreement, Subscriber may cancel subscription  by
sending e-mail to webmaster@emimusicpub.com (see Section 10 regarding
termination of service).  Subscriber's continued use of the service
now, or following the posting of notice of any changes in these
operating rules, will constitute a binding acceptance by Subscriber
of such rules, changes, or modifications.

1.4    WEB OPERATIONS may change, suspend or discontinue any aspect of
the Service at any time, including the availability of any Service
feature, database, or content.  WEB OPERATIONS may also impose limits
on certain features and services or restrict Subscriber access to
parts or all of the Service without notice or liability.

2.      WEB SITE CONTENT

2.1     All materials published on the Web Site (including, but not
limited to photographs, images, illustrations, musical compositions
and sound recordings, also known as "the Content"), and all rights
therein, are protected by all applicable copyright laws, and owned
and/or controlled by EMI Music Publishing and its affiliates and
licensees (collectively, "EMI") or the party credited as the
provider of such Content.  All sound recordings available on the Web
Site are owned and controlled by the applicable record companies
and other master recording owners. Subscriber shall abide by all
additional copyright notices, information, or restrictions applicable
to any Content accessed through the Service.  All rights in the
Content are expressly reserved by the applicable copyright owner.

2.2     Subscriber shall not store any portion of any Content published
on the Web Site, in any form, for other than solely for personal,
noncommercial use.  Any other use is expressly prohibited without the
prior written permission of the owner(s) of the rights in such Content.

2.3     All public performance, copying, or other use of the musical
compositions and sound recordings on the Web Site, including the music
and lyrics thereof,  sampling, and the creation of any compilations or
derivations of the recordings and/or musical compositions, is strictly
prohibited in any form or medium whatsoever.

2.4     The Service and the Web Site are protected by copyright as a
collective work and/or compilation, pursuant to U.S. copyright laws,
international conventions, and other copyright laws.  Subscriber may
not modify, publish, transmit, participate in the transfer or sale of,
reproduce (except as provided in this section of the Subscriber
Agreement), create derivative works from, distribute, perform,
display, or in any way exploit, any of the Web Site, Content or
Service, in whole or in part.

3.      LICENSES

3.1     Nothing contained in the Web Site, the Service or this
Subscriber Agreement shall constitute a license of any rights in any
Content. None of the license request forms, Content, Web Site pages
or other information contained in the Web Site shall be construed in
any way to be a license of any musical composition and/or sound
recording.

3.2     EMI reserves the right to deny any license request made through
the Web Site, at its sole discretion.  EMI makes no representation or
warranty that it owns or controls worldwide rights in and to the
musical compositions presented on the Web Site.  The license request
forms only relate to uses of the musical compositions and not the
sound recordings. If Subscriber wishes to use any such sound
recordings, Subscriber must request a separate license from the
applicable master rightsholder.

4.      ACCESS AND AVAILABILITY OF SERVICE AND LINKS

4.1     The Web Site may contain links to other related World Wide Web
Internet sites, resources, sponsors, affiliates and other unrelated
third parties of WEB OPERATIONS.  WEB OPERATIONS is not responsible
for the availability of these outside sites or their contents, and WEB
OPERATIONS is neither a sponsor, partner, promoter or publisher of
such sites or their content.  Subscriber should direct any concerns
regarding any external link to the site administrator or Webmaster of
such other site.

5.      REPRESENTATIONS AND WARRANTIES

5.1     Subscriber represents, warrants, and covenants that Subscriber
is at least eighteen years old.  Subscriber hereby indemnifies,
defends  and holds EMI and WEB OPERATIONS, and their respective
licensees,  affiliates and all their respective officers, directors,
owners, agents,  affiliates, licensors and licensees (collectively,
the "Indemnified Parties") harmless from and against any and all
liability and costs incurred by the Indemnified Parties in
connection with any claim arising out of any breach by Subscriber,
or any user of Subscriber's account, of the Subscriber Agreement or
any of the foregoing representations, warranties and covenants, and
operating rules, including, without limitation, reasonable attorneys'
fees.  Subscriber shall cooperate as fully as required in the defense
of any claim.  WEB OPERATIONS reserves the rights, at its own expense,
to assume the exclusive defense and control of any matter otherwise
subject to indemnification by Subscriber.

5.2     Neither EMI nor WEB OPERATIONS represent, warrant or endorse
the accuracy or reliability of any information displayed, uploaded,
downloaded or distributed through the Service by any user, or any
other person or entity.  WEB OPERATIONS reserves the right, in its
sole discretion, to correct any errors or omissions in any portion
of the Service.

5.3     The Service is distributed on an "as-is" basis without
warranties of any kind, either express or implied, including,
without limitation, warranties of title or implied warranties of
merchantability or fitness for a particular purpose.  Subscriber
hereby acknowledges that use of the Service is at Subscriber's
sole risk.

6.      REGISTRATION AND SECURITY

6.1     As part of the registration process, Subscriber will select a
password and Subscriber name ("WEB ID").  Subscriber shall provide WEB
OPERATIONS with accurate, complete, and updated registration
information. Failure to do so shall constitute a breach of this
Agreement, which may result in immediate termination of Subscriber's
account.  Subscriber may not (i) select or use a screen name of
another person with the intent to impersonate that person; (ii) use
a name subject to the rights of any person other than Subscriber
without authorization; or (iii) use a screen name that WEB
OPERATIONS, in its sole discretion, deems offensive. Subscriber
shall be obligated to confirm its registration through e-mail or such
other method selected by WEB OPERATIONS as described in the
Registration Procedures set forth herein and in the Web Site.
WEB OPERATIONS may suspend Subscriber's registration until such time
as it has received such additional documentation signed by Subscriber
and/or additional information which WEB OPERATIONS deems advisable.

6.2     (a) Subscriber shall notify webmaster@emimusicpub.com of any
known or suspected unauthorized use(s) of Subscriber's account, or any
known or suspected breach of security, including loss, theft, or
unauthorized disclosure of Subscriber's password or credit card
information, and (b) Subscriber shall be responsible for maintaining
the confidentiality of Subscriber's password.

6.3     Each Subscriber is responsible for all usage or activity on
its account, including use of the account by any third party
authorized by Subscriber to use Subscriber's WEB ID and password.
Any fraudulent, abusive, or otherwise illegal activity may be grounds
for termination of Subscriber's account, at WEB OPERATIONS' sole
discretion, and Subscriber may be referred to appropriate law
enforcement agencies.

7.      FEES AND PAYMENTS

7.1     WEB OPERATIONS reserves the right at any time to charge fees
for access to portions of the service or the service as a whole.
In the event that WEB OPERATIONS so elects, it shall post a notice
on the home page of the Web Site.  Subscriber shall pay all fees and
charges incurred through Subscriber's account.  Subscriber's right
to use the Service is subject to any limits established by WEB
OPERATIONS in its sole discretion.

8.      COMMUNICATIONS BETWEEN WEB OPERATIONS AND SUBSCRIBERS

8.1     WEB OPERATIONS reserves the right to send electronic mail
to any and all Subscribers, for the purpose of informing them of
changes or additions to the Service, or of any Web Site related
products and services.

8.2     WEB OPERATIONS reserves the right to disclose information
about Subscriber usage and demographics in forms that do not
reveal Subscriber's personal identities.

9.      ASSIGNMENT

9.1     Subscriber may not sublicense, assign or transfer its Web Site
account or the Service provided by such account, and any attempt at
such sublicense, assignment or transfer is void.

10.     TERMINATION

10.1    Subscriber may terminate Subscriber's account at any time by
sending e-mail to webmaster@emimusicpub.com.  Upon termination,
Subscriber will receive confirmation via e-mail that the request was
received, and Subscriber's access will be suspended within 24 hours.
Subscriber is responsible for all charges incurred up to the time
the account is deactivated.

10.2    WEB OPERATIONS may, in its sole discretion, terminate, limit
or suspend Subscriber's access to all or part of the Service for
any reason whatsoever, including, without limitation, for breach
of the Subscriber Agreement and/or assignment in contravention of
this Agreement.

11.     TRADEMARKS

11.01   All EMI trademarks and logos appearing on the Web Site are the
trademarks and logos of EMI Music Publishing, all rights reserved. All
other trademarks appearing on the Web Site are the property of their
respective owners.

12.     MISCELLANEOUS

12.01   This Subscriber Agreement has been made in, and shall be
construed and enforced in accordance with, New York law.  Any action
to enforce this agreement shall be brought solely in the federal or
state courts located in New York City.  Subscriber irrevocably
submits to the jurisdiction of the New York courts (state and
federal) in any such action or proceeding.

12.02   Official correspondence relating to the Web Site must be sent
via registered mail, return receipt requested, to:
